Welcome to VeganKey. These Terms of Service ("Terms") govern your access to and use of the VeganKey mobile application and related services (collectively, the "Service"). By downloading, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1) Acceptance of Terms

These Terms form a binding agreement between you and the owner/operator of VeganKey ("VeganKey," "we," "us," or "our"). Your use of the Service is also subject to our Privacy Policy (accessible in-app and on our website), which explains how we collect, use, and protect your information.

2) Eligibility

You must be at least 13 years old (or the age of digital consent in your region) to use the Service. If you are under 18, you represent that you have permission from a parent or legal guardian and that they agree to these Terms on your behalf.

3) Overview of the Service

VeganKey analyzes user-submitted menu images and returns informational classifications (e.g., Vegan, Modifiable, Not Vegan) and suggestions. VeganKey does not guarantee that any dish is 100% vegan, allergen-free, or suitable for your needs. Always verify with the restaurant and use your own judgment.

4) Informational Use Only; No Advice

The Service provides informational outputs only. It does not constitute medical, nutritional, legal, or other professional advice. Outputs may be incomplete, incorrect, or not reflect real-time menu changes. You are solely responsible for your dining decisions.

5) Assumption of Risk

You voluntarily use the Service at your own risk, including risks of consuming ingredients you seek to avoid and any allergic reactions. Always confirm with the restaurant.

6) Accounts & Access

Certain features (e.g., favorites, history, subscriptions) may require an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. We may update, add, or remove features at any time.

7) License & Ownership

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for lawful, personal purposes. All rights not expressly granted are reserved by VeganKey and its licensors. You may not copy, modify, reverse engineer, or resell the Service or any content except as permitted by law.

8) User Content & License to Process

You retain ownership of content you submit (e.g., images). You grant VeganKey a worldwide, non-exclusive, royalty-free license to host, process, analyze, cache, and display your content solely to operate and improve the Service (including history/favorites, quality and safety), and to comply with law. Do not upload content you lack rights to share.

9) Acceptable Use

You agree not to: (a) infringe intellectual property, privacy, or other rights; (b) upload unlawful, deceptive, or harmful content; (c) circumvent security or access non-public areas; (d) scrape, bulk-download, or build competing datasets; (e) interfere with normal operation; or (f) misuse the Service in any way.

10) Third‑Party Services

We rely on service providers to deliver the Service (e.g., Amazon Web Services for storage/hosting, OpenAI for menu understanding, Apple for in-app purchases, analytics, and crash logs). Their roles and data handling are described in our Privacy Policy.

11) Free Tier & Subscriptions

Free Tier: May include a limited number of monthly scans and basic history. Features and limits are subject to change.

Paid Features: Subscriptions unlock higher scan limits, advanced features, and/or priority processing. Details and current offerings are shown in-app.

12) Billing via Apple In‑App Purchase (IAP)

Billing & Charge: Apple bills your Apple ID account upon purchase confirmation.
Auto‑Renewal: Subscriptions renew automatically unless canceled at least 24 hours before the current period ends.
Manage/Cancel: Go to iOS Settings → Apple ID → Subscriptions to manage or cancel. Deleting the app does not cancel a subscription.
Trials/Intro Offers: If offered, unused portions may be forfeited when a subscription is purchased. Eligibility is determined by Apple.
Proration/Refunds: We do not offer cash refunds for partial periods. Refunds are governed by Apple's policies and applicable law.
Price Changes: If prices change, Apple may notify you and, where required, seek your consent to continue.

13) Apple‑Required Terms (iOS)

These Terms are between you and VeganKey, not Apple. Apple has no obligation to provide maintenance or support. To the extent permitted by law, Apple has no warranty or liability obligations regarding the Service. Apple is a third‑party beneficiary of these Terms and may enforce them against you.

14) Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT ACCURACY, RELIABILITY, AVAILABILITY, OR THAT OUTPUTS WILL MEET YOUR NEEDS OR BE ERROR‑FREE.

15) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VEGANKEY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR PERSONAL INJURY, ALLERGIC REACTIONS, DATA LOSS, LOSS OF PROFITS, OR OTHER LOSSES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE OR RELIANCE ON ITS OUTPUTS. WHERE LIABILITY CANNOT BE EXCLUDED, OUR TOTAL LIABILITY IS LIMITED TO THE LESSER OF: (A) THE AMOUNT YOU PAID IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $50. Nothing in these Terms limits liability that cannot be excluded by law.

16) Indemnification

You agree to defend, indemnify, and hold harmless VeganKey and its affiliates from claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Service, or your violation of these Terms or applicable law.

17) Intellectual Property; Feedback

All VeganKey trademarks, logos, and content are the property of VeganKey or its licensors. If you submit feedback or suggestions, you grant us a perpetual, irrevocable, royalty‑free license to use them without restriction.

18) Intellectual Property Complaints (DMCA)

If you believe content infringes your copyright, send a notice to support@vegankey.xyz including: (i) your contact information; (ii) identification of the copyrighted work; (iii) identification of the allegedly infringing material; (iv) a statement under penalty of perjury of your good‑faith belief that the use is not authorized; (v) a statement that you are authorized to act; and (vi) your signature. We may remove content and terminate repeat infringers.

19) Changes to the Service or Terms

We may modify the Service and these Terms. For material changes, we will update the Effective Date and may provide in‑app notice. Continued use after changes indicates acceptance.

20) Suspension & Termination

We may suspend or terminate your access for violations of these Terms, suspected fraud/abuse, non‑payment, or to comply with law. You may stop using the Service at any time and request deletion consistent with our Privacy Policy.

21) Governing Law

These Terms are governed by the laws of the State of Idaho (USA), without regard to conflict‑of‑law rules.

22) Arbitration; Class‑Action Waiver; Opt‑Out

Except for individual claims in small‑claims court or claims seeking injunctive relief, any dispute between you and VeganKey will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, with the seat and venue in Boise, Idaho. You and VeganKey waive the right to a trial by jury and to participate in a class action or representative proceeding.

Opt‑Out: You may opt out of this arbitration provision by emailing support@vegankey.xyz within 30 days of first accepting these Terms, stating your name, the email associated with your account (if any), and your clear intent to opt out.

23) Export & Sanctions Compliance

You may not use or export the Service in violation of U.S. export control laws or other applicable sanctions regulations.

24) Severability; Assignment; Entire Agreement

If any provision of these Terms is found unenforceable, the remainder remains in effect. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or asset sale. These Terms, together with the Privacy Policy, constitute the entire agreement concerning the Service and supersede prior or contemporaneous understandings.
